1. Introduction

Welcome to Synergy Academy (“Academy”, “we”, “our”, “us”), a global training and capacitybuilding platform operated under Synergy Consulting Infrastructure and Financial Advisory Services, Inc. (“Synergy”) hereafter collectively referred to as (“Synergy Global”) that provides professional training through both online and in-person formats. We specialize in programs focused on project finance, Public-Private Partnerships (PPPs), infrastructure advisory, and related fields, serving students, professionals, corporations, development Institutions and governments worldwide through our websites, Learning Management System (LMS), mobile apps, and instructor-led courses (ILCs).

These Terms of Service (“Terms”) form a legally binding agreement between you (“you”, “your”, “user”) and the Academy when you access our websites, LMS platforms, mobile applications, or participate in our training programs (collectively, the “Services”). By creating an account, enrolling in a course, attending sessions, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any course-specific agreements. If you do not agree, please do not use the Services.

2. Eligibility & User Types

  • Corporate Clients: Organizations, government entities, or institutions enrolling multiple learners for bulk orcohort training, requires valid business registration and authorized representatives. Such users will be covered under separate Master Service Agreements (MSAs) or Statements of Work (SOWs) which may include dedicated support, custom reporting, and invoicing.
  • Individual Learners: Professionals, students, or self-paced users enrolling for personal development or certifications. They must provide accurate personal details during registration and uphold academic integrity.
  • Instructors and Trainers: Vetted subject matter experts delivering ILCs, providing feedback, or contributing content. They require application, credential verification, and approval. They are governed by separate instructor agreements and a Code of Conduct.

We reserve the right to verify eligibility, request documentation, suspend access, or reclassify users for compliance.

3. Account Registration and Responsibilities

To use the Services, create an account with accurate, complete, and up-to-date information (e.g., name, email, affiliation). You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately at academy@synergyacademyifa.com of any unauthorized access. We may suspend or terminate accounts for false information, security risks, or violations. You agree not to share accounts or impersonate others.

4. Corporate Training Programs

Corporate training programs are primarily governed by separate MSAs or SOWs, which supersede these Terms in case of conflict. Access is linked to the contract duration. We may revoke access upon termination, non-payment, or breach. Individual learners within corporate programs adhere to these Terms unless specified otherwise.

5. Use of the Platform

You may use the platform solely for authorized educational purposes, including course enrollment, content viewing, progress tracking, participation in Instructor-Led Courses (ILCs), and completing certification assessments.

Prohibited Activities (strictly forbidden):

  • Copying, downloading, distributing, selling, or commercially exploiting course materials (e.g., PPP models, slides, videos).
  • Academic dishonesty, including cheating (e.g., proxy testing, sharing exam answers), plagiarism, or falsifying completion data.
  • Introducing malware, viruses, or harmful code; data scraping; or using bots/automation to access content.
  • Harassing, abuse, or disrupting instructors, learners, or platform functionality (e.g., spam in chat forums).
  • Sharing login credentials or impersonating others.
  • Reverse engineering, decompiling, or circumventing LMS security features

You must comply with all applicable laws, LMS provider policies, and course-specific guidelines. We actively monitor usage (including session recordings for ILCs) to enforce compliance and may report violations to employers or authorities. Violations result in immediate account suspension, certificate revocation, and potential legal action.

6. Intellectual Property

All course materials, videos, PPP models, slides, certifications, and platform features are the exclusive intellectual property of Synergy Academy or its licensors, protected by copyright, trademark, and other laws. Enrolled users receive a limited, revocable, non-transferable, nonexclusive license for personal, non-commercial educational use during active enrollment.

You may not modify, republish, create derivatives, or use materials commercially. Certificates prove completion only and remain non-transferable.

7. Payments & Billing (Corporate Programs)

For corporate programs, all billing terms—including fees, payment schedules, taxes, late fees, and refunds—are governed by the applicable MSA or SOW. Non-payment may lead to immediate access suspension. Individual learners follow course-specific payment policies (e.g., upfront enrollment fees). All payments are non-refundable except as stated in contracts.

8. Refunds and Cancellations

All sales of courses and services through the Synergy Academy platform are final upon enrollment confirmation and payment processing, except as expressly outlined in this section. Once a learner accesses any course content—including viewing modules, attending live instructor-led training (ILT) sessions, participating in webinars, or downloading materials—no refunds or credits will be issued.

  • Encrypted Data Storage: All personal data is stored using advanced encryption technologies on secure servers
  • Role-Based Access Controls: Access to personal information is strictly limited to authorized personnel based on defined roles and responsibilities
  • System Monitoring and Audits: Regular audits, system monitoring, and vulnerability assessments are conducted to identify and mitigate potential risks
  • Automated Backups: Secure and routine data backups are maintained to ensure business continuity and data recovery
  • Confidentiality Agreements: All personnel with access to personal data are bound by strict confidentiality obligations and undergo regular training on data protection practices

Refund Eligibility Periods

  • Pre-Access Period: A full refund, less payment gateway processing fees, will be issued if the request is made within 7 calendar days of payment and at least 30 days before the start of any live training session. The learner must not have accessed any course materials before submitting the refund request.
  • Early Access Period: A 50% refund is available if the refund request is submitted within 14 calendar days of payment and at least 15 days before the first live training session. The learner must not have accessed the relevant course materials before making the request. For the sake of clarity, no refund shall be processed if learner have accessed the course materials even during the Early Access Period.

Refund Request Process

  • Early Access Period: A 50% refund is available if the refund request is submitted within 14 calendar days of payment and at least 15 days before the first live training session. The learner must not have accessed the relevant course materials before making the request. For the sake of clarity, no refund shall be processed if learner have accessed the course materials even during the Early Access Period.

2. The Academy will verify eligibility using LMS activity logs within 5 business days.

3. Approved refunds will be processed via original payment method within 14 business
days of approval.

9. Third-Party Services

Services may integrate with third-party providers, such as LMS platforms, payment gateways, video tools, or cloud storage. Your use of these is subject to their separate terms and policies. Synergy Academy is not responsible for their availability, security, data handling, or performance issues.

10. Data Privacy

Your use of the Services is subject to the Synergy Academy Privacy Policy, which describes how we collect, use, share, and protect personal data (e.g., learner progress, corporate reports). By using the platform, you consent to these practices, including data transfers for LMS hosting or global operations.

11. Service Availability & Modifications

We aim for high availability but do not guarantee error-free or uninterrupted access. Scheduled maintenance, LMS updates, or external factors may cause downtime. We may modify, suspend, or discontinue features, courses, or Services at any time, with or without notice, without liability for inconveniences or data loss.

12. Disclaimers

Services and content are provided “as is” and “as available” for educational purposes only. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. Training does not constitute professional, financial, legal, or investment advice; users rely on it at their own risk. No guarantees of career outcomes or certification value.

13. Limitation of Liability

To the fullest extent permitted by law, Synergy Academy, Synergy Global, affiliates, officers, and personnel are not liable for indirect, incidental, consequential, special, or punitive damages (e.g., lost profits, data loss) arising from Services use. Total liability is limited to fees paid by you in the prior 12 months. This applies even if advised of potential damage.

14. Termination

We may suspend or terminate your account, access, or enrollment immediately for violations, non-payment, security risks, or at our discretion, without notice or refund. Upon termination, all licenses end, data may be deleted, and certificates revoked if fraud is found. You may terminate by ceasing use, but payment and confidentiality obligations survive.

15. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States of America, without regard to its conflict of laws principles or choice of law rules that would otherwise require the application of the laws of a different jurisdiction.

Any dispute, claim, or controversy arising out of or relating to these Terms of Service, including any question regarding their existence, validity, interpretation, breach, or termination, shall be subject to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia. Each party hereby irrevocably submits to the personal jurisdiction of such courts and waives any objection to the laying of venue in such courts.

Notwithstanding the foregoing, nothing in this clause shall limit the Academy's or Synergy Global's right(s) to seek injunctive or other equitable relief in any court of competent jurisdiction where necessary to protect its legitimate interests, Including intellectual property rights or confidential information. Users located outside the United States acknowledge that their use of the Services may be subject to applicable local laws, which may provide additional rights and protections, and this governing law clause does not operate to waive or limit any such mandatory legal protections.

16. Changes to These Terms

We may update these Terms of Service at any time to reflect legal requirements, platform functionality, pricing, or operational changes.

Notice: Updates will be posted on our website and displayed prominently on the LMS dashboard.

Acceptance: Continued use of the platform 30 days after the posted update date constitutes your acceptance of the new terms.
